PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Platform or the Tokens, you agree to be bound by these Terms. They contain important provisions including limitations of liability, disclaimers of warranties, and a governing-law and dispute-resolution clause that affect your legal rights. Digital assets carry significant risk, including the risk of total loss. If you do not agree with these Terms, you must not use the Platform or the Tokens.
In these Terms, the following capitalised terms have the meanings set out below:
In these Terms, the singular includes the plural and vice versa; headings are included for convenience only and do not affect interpretation; and the word “including” (and its variants) means “including without limitation.” References to legislation include any amendment or re-enactment of it.
By accessing or using the Platform, the Tokens or any related Services, you agree to be bound by these Terms and by all applicable laws and regulations. These Terms constitute a binding agreement between you and the Foundation.
By using the Platform, you represent and warrant that you have the legal capacity and authority to enter into these Terms; that, where you act on behalf of an entity, you are authorised to bind that entity; and that your access to and use of the Platform complies with all laws applicable to you, including in your country of residence.
The Foundation may amend these Terms from time to time. Where a change is material, we will provide reasonable notice through the Platform or other appropriate means. Your continued use of the Platform or the Tokens after a change takes effect constitutes your acceptance of the amended Terms.
The JMDT Chain is a blockchain platform designed to enable participation in its ecosystem, the processing and validation of transactions, access to Platform features and Services, and staking in support of network validation and rewards.
The Tokens are intended to function within the Platform to enable network participation, to provide Enterprise Users with access to Platform capabilities (whether by holding or staking Tokens), to distribute validation rewards to eligible participants, and to support governance as described in the Whitepaper. The Tokens are consumptive, functional instruments used to access and operate the Platform.
The Whitepaper forms an integral part of these Terms. In the event of any conflict between these Terms and the Whitepaper in relation to the technical operation of the Platform, the Whitepaper governs to the extent of that conflict; in all other respects, these Terms prevail.
The Platform is intended to be globally accessible, subject to your compliance with applicable law, these Terms, and the technical requirements for interacting with the Platform. Access is not available to any person located in, or ordinarily resident in, a jurisdiction in which such access would be unlawful, and is not available to any person subject to applicable sanctions or appearing on any relevant sanctions or restricted-persons list.
The Platform recognises 3 broad categories of Users:

You are solely responsible for maintaining the security of your wallet, private keys, seed phrases and any credentials used to access the Platform. The Foundation does not hold, and cannot recover, your private keys. You agree to implement reasonable security measures and to notify us promptly of any suspected unauthorised access to, or compromise of, your wallet or credentials.
Tokens may be acquired through secondary-market purchases on centralized or decentralized exchanges, through direct issuance to Enterprise Users under separate agreements, or as validation rewards earned through eligible participation in the network.
Subject to these Terms and to the rules of the Platform, a holder of Tokens may use, transfer and stake those Tokens, and may participate in governance to the extent provided in the Whitepaper. Ownership of Tokens confers only the functional rights described in these Terms and the Whitepaper, and does not confer any equity, ownership, dividend, or other proprietary interest in the Foundation or its assets.
You acknowledge and agree that the Tokens are utility tokens intended for use within the Platform, and that they are not offered or sold as securities, investment contracts, shares, or other regulated financial instruments. The Foundation makes no representation or promise as to the future value of the Tokens, and nothing on the Platform or in these Terms should be construed as a solicitation to invest or as a promise of profit, return, or appreciation. The classification of a digital asset can depend on the facts and on the law of a particular jurisdiction; you are responsible for satisfying yourself as to how the Tokens are treated under the laws applicable to you.
Blockchain transactions are, by their nature, irreversible, and secondary-market purchases of Tokens are made from third parties rather than from the Foundation. Accordingly, the Foundation does not offer refunds in respect of Tokens. Enterprise arrangements are governed by their own separate agreements, which set out any applicable commercial terms. Where a genuine technical fault attributable to the Platform is demonstrated, the Foundation will consider the matter on a case-by-case basis, but this does not create any general right to a refund.
You agree to use the Platform lawfully and in good faith. In particular, and without limitation, you must not:
These conduct rules apply alongside, and in addition to, the Foundation's Anti-Money-Laundering and sanctions policy, which is incorporated into these Terms by reference.
Where the Foundation reasonably believes that a User has breached these Terms or applicable law, it may suspend or restrict that User's access to Platform Services, and may take such further action as is available to it under applicable law. A User affected by such action may submit an appeal within 30 days of the action, and the Foundation will consider any appeal in good faith. Nothing in this section limits the Foundation's obligations to cooperate with lawful regulatory or judicial process.
The Tokens may be available for trading on one or more third-party centralized or decentralized exchanges. Any such exchange operates independently of the Foundation, under its own terms and policies, and the Foundation does not control, endorse, or guarantee the availability, continuity, pricing, or liquidity of any market for the Tokens. Trading digital assets is speculative and carries substantial risk, including price volatility and the risk of total loss. Any decision to acquire, hold, or dispose of Tokens is made at your own risk and on your own judgement.
All intellectual property rights in and to the Platform, including its software, protocol design, trademarks, branding, and documentation, are owned by or licensed to the Foundation. Subject to your compliance with these Terms, the Foundation grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose. Where you submit content to the Platform, you grant the Foundation a licence to host and use that content to the extent necessary to operate the Platform, and the Foundation may remove content that violates these Terms or applicable law.
The Foundation accepts liability only for losses directly caused by systems and data genuinely within its custody and control, and only to the extent provided in these Terms and by applicable law. The Foundation does not custody your wallet, your private keys, or Tokens you hold, and is not responsible for losses arising from user-controlled wallets, third-party exchanges, or your own acts or omissions, including the loss or compromise of private keys.
THE PLATFORM AND THE TOKENS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
11.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE FOUNDATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR TOKENS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE PLATFORM, OR THE TOKENS.
EXCEPT WHERE A SEPARATE WRITTEN AGREEMENT BETWEEN YOU AND THE FOUNDATION EXPRESSLY PROVIDES OTHERWISE, THE FOUNDATION'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT, IF ANY, THAT YOU PAID TO THE FOUNDATION IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE HUNDRED UNITED STATES DOLLARS (US$500).
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including, where applicable, liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
You agree to indemnify and hold harmless the Foundation and its officers, employees, and agents from and against any claims, losses, liabilities, and reasonable expenses (including legal fees) arising out of your breach of these Terms, your misuse of the Platform, or your violation of any applicable law or third-party right. The Foundation will notify you of any such claim, allow you to participate in the defence, and provide reasonable cooperation, provided that the Foundation may retain control of any matter that affects its own interests.
The Foundation's collection, use, and protection of data is governed by its Privacy Policy, which is incorporated into these Terms by reference and forms part of your agreement with us. By using the Platform, you acknowledge that you have read and understood the Privacy Policy.
These Terms are governed by, and construed in accordance with, the laws of the Republic of Seychelles, without regard to conflict-of-law principles. Before commencing any formal proceedings, the parties agree to attempt in good faith to resolve any dispute through negotiation and, where appropriate, alternative dispute resolution. Any dispute that is not resolved in this way shall be subject to the exclusive jurisdiction of the courts of Seychelles. Nothing in this section deprives you of the protection of any mandatory consumer-protection law of your place of residence where such law applies and cannot be excluded by agreement.
The Foundation intends and treats the Tokens as utility tokens and endeavours to conduct its activities in compliance with the laws applicable to it. You are responsible for complying with all laws applicable to you, including securities, tax, anti-money-laundering, and sanctions laws in your jurisdiction, and for determining whether your acquisition, holding, or use of the Tokens is lawful for you. The Foundation may take reasonable steps, including requesting information, to meet its own regulatory obligations.
The Foundation shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, civil unrest, governmental action, network or infrastructure failures, or protocol-level attacks. The Foundation will use reasonable efforts to give notice of, and to mitigate the effects of, any such event.
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or, if it cannot be so modified, severed, and the remaining provisions shall continue in full force and effect. Provisions that by their nature should survive termination, including those relating to intellectual property, liability, indemnification, and governing law, shall survive.
You may stop using the Platform at any time. The Foundation may suspend or terminate your access to Platform Services in accordance with these Terms. Termination does not affect any rights or obligations that accrued before termination, and the provisions identified in Section 17 as surviving shall continue to apply.
These Terms, together with the Whitepaper, the Privacy Policy, the Anti-Money-Laundering policy, and any applicable enterprise agreements, constitute the entire agreement between you and the Foundation in relation to the Platform and supersede any prior understanding on that subject. Amendments are made in accordance with Section 2.3.

By accessing or using the Platform or the Tokens, you acknowledge that you have read, understood, and agreed to be bound by these Terms, including the disclaimers and limitations of liability set out above.
