Jupiter Meta Labs Foundation & JMDT Blockchain Platform
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions
- Company or Foundation: Jupiter Meta Labs Foundation, incorporated under
the laws of Seychelles
- Platform: The JMDT Chain blockchain platform and associated services
- JMDT Tokens or Tokens: Jupiter Meta Data Tokens (utility tokens)
- User or You: Any person or entity using the Platform or Tokens
- Services: All services, features, and functionality of the Platform
- Validator Node or Sequencer: Network nodes that validate transactions
- Enterprise User: Institutional or corporate entities building on the Platform
- Whitepaper: Technical documentation defining tokenomics, governance, and staking models
- CEX: Centralized exchanges; DEX: Decentralized exchanges
1.2 Interpretation
- References to singular include plural and vice versa
- Headings are for convenience only and do not affect interpretation
- "Including" means including without limitation
2. ACCEPTANCE OF TERMS
2.1 Agreement to Terms
By accessing, using, or interacting with the Platform, JMDT Tokens, or any related services, you acknowledge
that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.
2.2 Capacity and Authority
- You have the legal capacity and authority to enter into these Terms
- If acting on behalf of an entity, you are authorized to bind that entity
- Your use complies with applicable laws in your jurisdiction
2.3 Modifications
The Foundation reserves the right to modify these Terms at any time. Material changes will be notified through
the Platform or other reasonable means. Continued use after modifications constitutes acceptance of the revised
Terms.
3. PLATFORM OVERVIEW AND TOKEN UTILITY
3.1 JMDT Chain Purpose
- Participation in the JMDT Chain ecosystem
- Transaction processing and validation
- Access to Platform features and services
- Staking for network validation rewards
3.2 Token Utility
- Network Participation
- Enterprise Access (stake and own tokens to build and transact)
- Validation Rewards
- Platform Governance per Whitepaper
3.3 Technical Documentation
The Platform's technical specifications, tokenomics, governance mechanisms, and staking models are detailed in
the official Whitepaper, which forms an integral part of these Terms.
4. PLATFORM ACCESS AND ELIGIBILITY
4.1 Open Access Policy
Global access subject to local law compliance, adherence to these Terms, and technical compatibility.
4.2 User Categories
- General Users
- Enterprise Users
- Validator Node Operators
4.3 Account Security
- Maintain wallet/private key security
- Implement appropriate security measures
- Report unauthorized access or breaches
5. TOKEN ACQUISITION AND OWNERSHIP
5.1 Token Acquisition Methods
- Secondary Market Purchases (CEX/DEX)
- Direct Enterprise Issuance (subject to agreements)
- Validator Rewards
5.2 Token Ownership Rights
Use, transfer, governance, and staking per network rules and laws.
5.3 No Investment Representation
Tokens are utility tokens; not securities or investment contracts.
6. REFUND AND CANCELLATION POLICY
- No refunds; Foundation does not sell directly to general users; blockchain transactions are irreversible
- Enterprise arrangements governed by separate agreements
- Technical issues considered case-by-case
7. PLATFORM CONDUCT AND RESTRICTIONS
- Contract creation restrictions
- Validation gaming prevention
- Network abuse prevention
- General prohibitions (AML, sanctions, fraud, etc.)
8. SUSPENSION AND ENFORCEMENT
Foundation may suspend, restrict, ban, or pursue legal action for violations. Appeal process available within
30 days.
9. SECONDARY MARKET LISTING
Listings may be pursued; no guarantees; trading risks apply.
10. INTELLECTUAL PROPERTY
Foundation owns/ licenses IP; users receive limited license; user content may be used to operate and improve
Platform.
11. LIABILITY AND DISCLAIMERS
- Custodial liability for Foundation-controlled losses
- Non-custodial disclaimer
- “As Is” provision and risk warnings
- Liability cap and exclusions
12. INDEMNIFICATION
Users indemnify the Foundation; notice and defense procedures apply.
13. DATA PRIVACY AND SECURITY
Data collection, use, and protection per policy and applicable laws.
14. GOVERNING LAW AND JURISDICTION
Seychelles law; Seychelles courts; ADR recommended before litigation.
15. REGULATORY COMPLIANCE
Utility token classification; securities law compliance; user responsibilities.
16. FORCE MAJEURE
No liability for events beyond control; notice and mitigation required.
17. SEVERABILITY AND SURVIVAL
Invalid provisions modified; key provisions survive termination.
18. TERMINATION
Termination rights and effects; accrued rights survive.
19. ENTIRE AGREEMENT AND AMENDMENTS
These Terms with Whitepaper, Privacy Policy, AML Policy, and agreements form the entire agreement; amendments
may occur with notice.

21. ACKNOWLEDGMENT AND ACCEPTANCE
By using the Platform or Tokens, you acknowledge and accept these Terms.
1. ELIGIBILITY
You must have the legal capacity to enter into these Terms under applicable laws.
2. USE OF THE APPLICATION
You agree to use the Application in accordance with applicable laws and not to engage in prohibited activities,
including attempts to disrupt, reverse engineer, or misuse the service.
3. INTELLECTUAL PROPERTY
All content, trademarks, and technologies are the property of Jupiter Meta or its licensors.
4. DISCLAIMERS
The Application is provided on an "as is" and "as available" basis without warranties of any kind.
5. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Jupiter Meta shall not be liable for indirect, incidental, or
consequential damages.
6. CHANGES TO TERMS
We may update these Terms periodically. Continued use constitutes acceptance of the updated Terms.
